These terms govern your use of the Mederi Digital website. By using the Site, you agree to them. Please read them carefully.
1. Who we are and acceptance
Mederi Digital, LLC ("Mederi Digital," "we," "us," or "our") is a healthcare web design studio based in Greater Houston, Texas. By accessing or using www.mederidigital.com (the "Site"), you agree to these Terms of Service. If you use the Site on behalf of an organization, you represent that you are authorized to accept these terms for it.
2. This website
The Site presents information about our studio and services and lets you get in touch. The content here is for general information. It is not legal, medical, or compliance advice, and it does not create a client relationship on its own.
3. Design services are governed by a separate agreement
Any project we take on, including design, development, branding, marketing, or ongoing care, is governed by a separate written proposal, statement of work, or services agreement between you and Mederi Digital, LLC. Where those documents differ from these Site terms, the project agreement controls for that engagement.
4. Standards, not legal guarantees
We design and build to recognized standards and best practices, including WCAG 2.1 Level AA for accessibility and privacy-aware handling of forms and data. Building to these standards is not a legal determination and is not a guarantee of compliance with the ADA, WCAG, HIPAA, or any other law or standard. Legal compliance depends on your full operations, and you remain responsible for it, working with your own counsel and privacy officer. We do not provide legal advice.
5. Acceptable use of the Site
- Do not submit protected health information (PHI) or other sensitive personal data through the Site.
- Do not misuse the Site, interfere with it, or attempt to access it without authorization.
- Do not use the Site to violate any law or the rights of others.
- You are responsible for the accuracy of the information you provide to us.
6. Intellectual property
The Site, including its content, branding, and design, belongs to Mederi Digital, LLC and is protected by intellectual property laws. You may not copy, resell, reverse engineer, or create derivative works from the Site without our written permission. Ownership of deliverables we create for a project is addressed in that project's agreement.
7. Third-party services and links
The Site relies on third-party providers and may link to third-party websites. We are not responsible for the content, policies, or practices of third parties, and your use of them is at your own risk.
8. Disclaimers
The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.
9. Limitation of liability
To the fullest extent permitted by law, and regardless of the theory of liability (whether contract, tort, or otherwise) and even if we have been advised of the possibility of such damages, Mederi Digital, LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the Site. Nothing here limits liability that cannot be limited by law. Liability for project work is addressed in the applicable project agreement.
10. Indemnification
You agree to defend, indemnify, and hold harmless Mederi Digital, LLC and its affiliates, officers, and employees from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your misuse of the Site or your violation of these terms or applicable law.
11. Changes to these terms
We may update these terms from time to time. When we do, we will revise the "Last updated" date above, and your continued use of the Site after changes take effect means you accept them.
12. Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
